Terms of Service

1. Acceptance of Terms
By installing, accessing, or using the SubSuite application ("Service") on your Shopify store, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not install or use the Service. These Terms constitute a legally binding agreement between you ("Merchant") and SubSuite ("we", "us", or "our").
2. Description of Service
SubSuite is a subscription commerce platform for Shopify merchants. Our suite includes SubFlow (subscription management and billing), SubPulse (analytics), SubRecover (churn prevention), SubBundle (subscription boxes), and SubLoyal (loyalty rewards). We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3. Account and Eligibility
To use SubSuite, you must have an active Shopify store and a valid Shopify account. You are responsible for maintaining the security of your account credentials. You must be at least 18 years old or the age of legal majority in your jurisdiction.
4. Billing and Payment
SubSuite offers multiple pricing tiers billed through Shopify's app billing system. By subscribing to a paid plan, you authorize Shopify to charge the applicable fees. All charges appear on your Shopify invoice. Free plans require no payment. Paid plans include a trial period. You may cancel or change your plan at any time. Refunds follow Shopify's app billing policies.
5. Acceptable Use
You agree not to use the Service to: violate any applicable laws or third-party rights; transmit malicious code; attempt unauthorized access to the Service; interfere with the Service's performance; send unsolicited communications; or resell the Service without our consent.
6. Intellectual Property
The Service, including all software, designs, text, and graphics, is owned by SubSuite and protected by intellectual property laws. You retain ownership of your store data. We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription term.
7. Data and Privacy
Our data practices are governed by our Privacy Policy. You are responsible for complying with applicable data protection laws, including obtaining necessary consents from your customers.
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. We provide support via email at dev@subsuite.in. Response times vary by plan tier.
9. Limitation of Liability
To the maximum extent permitted by law, SubSuite shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Termination
You may terminate your use by uninstalling SubSuite from your Shopify store. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Service ceases immediately.
12. Changes to Terms
We may update these Terms from time to time. Your continued use after changes are posted constitutes acceptance of the revised Terms.
13. Governing Law
These Terms shall be governed by the laws of India. Disputes shall be resolved through good-faith negotiation, and if necessary, binding arbitration.
